The exact service, price, schedule, and deliverables for each project will be stated in an approved proposal, quote, invoice, email, contract, or project brief.
2. Who May Use Our Services
You must be at least 18 years old and legally able to enter an agreement.
If you act for a company, organization, or another person, you confirm that you have permission to:
- Accept these Terms
- Approve project work
- Provide materials and account access
- Make payments
- Make decisions on their behalf
3. Quotes and Proposals
A quote or proposal is based on the information available when it is prepared.
It may include:
- Project goals
- Services included
- Deliverables
- Number of pages or designs
- Features and functions
- Revision limits
- Estimated schedule
- Payment stages
- Client duties
- Items not included
A quote remains valid for the period shown in the quote. If no period is shown, we may update the price or schedule before the project is approved.
A project begins only after we receive any required:
- Written approval
- Deposit
- Project content
- Account access
- Signed agreement
4. Project Scope
The project scope explains what work is included.
Work outside the approved scope is considered extra work. This may include:
- Additional pages
- New design concepts
- Extra revisions
- New features
- New integrations
- Added platforms
- Major content changes
- Work not listed in the original proposal
Before completing extra work, we may:
- Provide a new quote
- Request written approval
- Change the payment schedule
- Extend the delivery date
We are not required to provide work that is not included in the approved scope.
5. Client Responsibilities
To help us complete the project, you agree to:
- Provide clear and correct instructions
- Send content, images, files, and access on time
- Give accurate business information
- Appoint one main contact where possible
- Review work carefully
- Provide clear feedback
- Approve or reject work within the agreed time
- Make payments when due
- Keep backup copies of important data
- Protect passwords and account access
- Make sure all supplied material can be used legally
Late content, feedback, access, payment, or approval may change the delivery date.
We are not responsible for delays caused by missing or late client material.
6. Content and Materials You Provide
You keep ownership of the logos, text, images, videos, data, files, and other material that you provide.
You give WebVerse Solution permission to use, copy, edit, upload, resize, and format that material as needed to complete the project.
You confirm that:
- You own the material or have permission to use it
- It does not break any law
- It does not violate another person’s rights
- It is not false, harmful, or misleading
- It does not contain malware or unsafe code
You are responsible for claims, losses, or legal issues caused by materials you provide.
7. Payments
Project prices and payment stages will appear in the approved quote, proposal, invoice, or contract.
Unless we agree otherwise in writing:
- A deposit is required before work begins
- Milestone payments are due when each stage is reached
- Final payment is due before final delivery, transfer, launch, or handover
- Third-party charges must be paid by the client
- Work may be paused if payment is late
Late payment may also affect the project schedule.
The client is responsible for any applicable:
- Bank charges
- Payment processing fees
- Taxes
- Hosting fees
- Domain fees
- Software subscriptions
- Plugin licenses
- Stock images
- Premium fonts
- Advertising costs
- Third-party services
These costs are included only when clearly stated in the approved proposal.
8. Revisions
A project may include a set number of revision rounds.
A revision is a reasonable change to work already created within the approved direction and scope.
A revision does not include:
- A completely new concept
- A new website page
- A new campaign
- A new platform
- A major change in direction
- Work that was not included in the proposal
Extra revisions may require:
- An added fee
- A revised delivery date
- A new project scope
Revision requests should be clear and grouped into one message where possible.
Conflicting, incomplete, or repeated feedback may cause delays.
9. Approvals
The client is responsible for reviewing:
- Text
- Images
- Prices
- Contact details
- Links
- Forms
- Designs
- Page layouts
- Offers
- Legal claims
- Final deliverables
Once a stage or final item is approved, later changes may be charged as extra work.
Approval may be given by email, message, project platform, signed document, or another written method.
10. Timelines and Delivery Dates
We aim to meet agreed timelines. However, delivery dates are estimates unless we clearly confirm a fixed deadline in writing.
A timeline may change because of:
- Late client feedback
- Missing content or account access
- Added work
- Change requests
- Platform errors
- Plugin or software issues
- Third-party delays
- Illness or emergencies
- Events outside our control
We will communicate important delays when reasonably possible.
We are not responsible for business loss caused by a delay outside our reasonable control.
11. Project Pauses
We may pause a project if:
- A required payment is late
- The client does not provide content
- Required access is missing
- Feedback is not provided
- The project direction is unclear
- A security or legal concern appears
- The client requests a pause
A paused project may be moved to the next available production slot.
The delivery date will normally change when a project is paused.
12. Inactive Projects
A project may be treated as inactive after 30 days without a useful response from the client, unless another period has been agreed upon.
To restart an inactive project, we may
- Set a new delivery date
- Move the project to a new production slot
- Charge a restart fee
- Review the original scope
- Issue a new quote if costs have changed
Payments already made are not refunded, only because a project became inactive due to client delays.
13. Cancellations and Refunds
A client may request cancellation in writing.
Our services involve planning, communication, research, design, development, and reserved production time.
For this reason:
- Deposits are normally non-refundable
- Payments for completed work are non-refundable
- Approved third-party costs are non-refundable
- Work completed before cancellation must be paid for
- Refunds for unstarted work will depend on the project record
- Custom digital work cannot be returned like a physical item
If WebVerse Solution cancels a project without client fault, we will refund any payment for work that has not been completed or committed to approved third-party costs.
A separate signed agreement may include different cancellation or refund terms.
14. Website Design and Development
Website projects may depend on third-party services, including:
- Website hosting
- Domain providers
- Content management systems
- Themes
- Plugins
- APIs
- Fonts
- Stock assets
- Browsers
- Devices
- Payment systems
We aim to create websites that work on current, commonly used browsers and screen sizes at the time of delivery.
Support for outdated, unsupported, or uncommon browsers and devices is included only when agreed in writing.
After any included support period, the client is responsible for:
- Hosting renewals
- Domain renewals
- Plugin and software licenses
- Website backups
- Security checks
- Content updates
- Legal notices
- Accessibility duties
- Ongoing maintenance
We are not responsible for future problems caused by:
- Third-party updates
- Expired licenses
- Hosting limits
- Malware
- Hacked accounts
- Client changes
- Another developer’s work
- Unsupported software
- Third-party service failures
15. Website Maintenance and Support
Ongoing maintenance is not included unless it appears in the approved proposal or support plan.
Maintenance may include:
- Software updates
- Plugin updates
- Backups
- Security checks
- Small content changes
- Technical support
A maintenance plan does not guarantee that a website can never be hacked, interrupted, or affected by a third-party error.
Support requests outside an active plan may be quoted separately.
16. Search Engine Optimization
SEO can improve how search engines understand and display a website. However, search results depend on many factors outside our control.
WebVerse Solution does not guarantee:
- A number-one ranking
- A fixed search position
- A set amount of traffic
- A set number of leads
- A set number of sales
- Approval by a search engine
- Permanent rankings
- Results by a fixed date
SEO performance may be affected by:
- Search engine updates
- Competitor activity
- Website history
- Market demand
- Content quality
- Technical limits
- Client actions
- Budget
- Industry competition
Search engines may change their systems and policies without notice.
SEO work will be completed according to the approved scope.
17. Social Media Marketing
Social media results depend on factors such as:
- Platform rules
- Audience activity
- Account history
- Content quality
- Posting frequency
- Advertising budget
- Industry trends
- Market demand
We do not guarantee:
- A fixed number of followers
- Viral content
- A fixed reach level
- A set number of leads
- A set number of sales
- Account verification
- Uninterrupted platform access
Social media platforms may limit, reject, remove, or suspend content and accounts.
WebVerse Solution is not responsible for platform decisions outside our control.
The client remains responsible for approving:
- Product claims
- Prices
- Offers
- Promotions
- Competitions
- Regulated content
- Published information
18. Graphic Design and Creative Work
Early drafts, working files, mood boards, rejected concepts, and unused ideas remain the property of WebVerse Solution unless stated otherwise.
Final approved files will be provided in the formats listed in the project scope.
Editable or source files are included only when clearly stated.
Fonts, templates, mockups, stock images, plugins, and other licensed materials may remain subject to third-party license rules.
Colors can appear different across:
- Screens
- Printers
- Paper types
- Fabrics
- Materials
- Production methods
We are not responsible for normal color or output differences caused by third-party printing or production.
19. Intellectual Property and Ownership
Client Materials
You keep ownership of all original material you provide.
Our Existing Materials
WebVerse Solution keeps ownership of its existing:
- Methods
- Templates
- Systems
- Code libraries
- Processes
- Tools
- Skills
- Reusable design parts
- Business knowledge
Final Deliverables
After full payment, the client receives the rights stated in the approved proposal for the final deliverables.
Unless agreed otherwise, ownership does not include:
- Unpaid work
- Rejected concepts
- Unused drafts
- Third-party assets
- Licensed software
- Stock content
- Open-source code
- Our reusable tools or systems
We may hold final files, launch access, or ownership transfer until all due payments have been received.
20. Portfolio Rights
Unless we agree otherwise in writing, the client allows WebVerse Solution to display completed public work in the following:
- Our portfolio
- Our website
- Social media
- Proposals
- Presentations
- Award entries
- Marketing materials
We will not knowingly publish passwords, private customer data, confidential reports, or material clearly marked as confidential.
A client who needs a fully confidential project should request this before work begins.
A separate fee or condition may apply when completed work cannot be displayed.
21. Confidential Information
Each side may receive private business, financial, technical, or project information.
Both sides agree to:
- Use confidential information only for the project
- Take reasonable steps to protect it
- Share it only with people who need it for the work
Confidential information may be shared with:
- Staff
- Contractors
- Professional advisers
- Approved service providers
- Legal authorities where required
Information is not confidential if it:
- Is already public
- Was legally known before disclosure
- Was legally received from another source
- Was created without using the confidential information
22. Third-Party Services
We may recommend or use third-party services, including:
- Hosting companies
- Domain providers
- Plugins
- Social media platforms
- Analytics tools
- Payment providers
- Stock libraries
- Marketing software
These services have their own:
- Terms
- Prices
- Limits
- Policies
- Privacy practices
The client is responsible for reading and accepting third-party terms.
WebVerse Solution is not responsible for a third party’s:
- Service outage
- Data loss
- Price increase
- Policy change
- Security issue
- Account suspension
- Removed feature
- Business closure
- Service failure
23. Acceptable Website Use
You may use our website only for lawful purposes.
You must not:
- Damage or overload the website
- Attempt to access private systems
- Upload malware or harmful code
- Send spam or false requests
- Impersonate another person
- Scrape protected content
- Copy our content without permission
- Misuse our name, logo, or work
- Break any applicable law

25. Warranties and Disclaimers
We will provide our services with reasonable skill and care.
Except for promises made in a written agreement, our website and services are provided on an “as available” basis.
We do not promise that:
- The website will always be online
- Every error will be found
- Every system will be fully secure
- Third-party tools will always work
- A service will meet an unstated goal
- A project will create a specific business result
Nothing in these Terms removes any legal right that cannot be removed under applicable law.
26. Limits on Liability
To the fullest extent allowed by law, WebVerse Solution will not be responsible for indirect, special, incidental, or lost-profit damages.
This may include:
- Lost sales
- Lost leads
- Lost data
- Lost search rankings
- Business interruption
- Reputational harm
- Third-party platform issues
Our total liability for a claim related to a project will not be more than the amount paid to WebVerse Solution for the service that caused the claim during the six months before the event.

27. Client Indemnity
To the extent allowed by law, you agree to protect and reimburse WebVerse Solution against third-party claims, losses, or costs caused by:

28. Ending a Project
Either side may end a project if the other side seriously breaks the agreement and does not correct the issue after receiving reasonable written notice.
We may stop work immediately in cases involving:
- Non-payment
- Illegal activity
- Abuse or threats
- Security risks
- False information
- Repeated scope misuse
- Requests that may harm another person
- Requests that may break the law
When a project ends, all fees for completed work and approved costs remain payable.

29. Force Majeure
Neither side is responsible for a delay caused by an event outside reasonable control.
Such events may include:
- Severe weather
- Natural disasters
- War
- Civil unrest
- Power outages
- Internet failures
- Cyberattacks
- Government action
- Labor disruption
- Serious illness
- Epidemics
- Third-party service failures
The affected side should provide notice when reasonably possible.
30. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules.
Before starting a formal legal claim, both sides agree to try to resolve the matter through good-faith written discussion.
Unless applicable law requires otherwise, courts located in Delaware will have authority over disputes related to these Terms or our services.
31. Changes to These Terms
We may update these Terms when our:

- Prices change

- Legal duties change
The latest version will be posted on this page with a new “Last Updated” date.
Changes apply from the date they are posted.
If a signed contract or approved proposal clearly conflicts with these website Terms, the signed contract or approved proposal will control for that project.
